Glossary of Terms
"Adjusted Unitholders' Equity" means, at any time, the aggregate of the amount of Unitholders' equity and the amount of accumulated depreciation and amortization recorded in the books and records of the REIT in respect of its properties calculated in accordance with IFRS
"AGM" means Annual General Meeting
"Board" or "Board of Trustees" means the Board of Trustees of the REIT
"CDS" means the Canadian Depository for Securities Limited
"Class A LP Unit" means a Class A unit of Retrocom LP
"Class B LP Unit" means a Class B unit of Retrocom LP
"Class B LP Unitholder" means a holder of a Class B LP Unit
"Declaration of Trust" means the Third Amended and Restated Declaration of Trust dated as of July 8, 2008, as amended from time to time, which is governed by the laws of the Province of Ontario
"Distribution Date" means, in respect of a quarter, on or about the 15th day of the month following the quarter and in respect of a month, on or about the 15th day of the month following the month for which the distribution is declared
"Distribution Reinvestment Plan (DRIP)" means the distribution reinvestment plan adopted by the REIT, pursuant to which Canadian resident Unitholders are entitled to elect to have cash distributions in respect of Units automatically reinvested in additional Units (in March 2007, the Trust suspended, until further notice, its DRIP)
"Exchangeable Securities" means securities of any trust, limited partnership or corporation other than the REIT that are convertible or exchangeable directly for Units without the payment of additional consideration therefore
"GAAP" means Canadian generally accepted accounting principles determined with reference to The Handbook of The Canadian Institute of Chartered Accountants, as amended from time to time. Except as otherwise specified, all accounting terms used by Retrocom shall be construed in accordance with GAAP
"GLA" means gross leasable area
"Gross Book Value" means, at any time, the book value of the assets of the REIT and its consolidated subsidiaries, as shown on its then most recent consolidated balance sheet, plus accumulated depreciation and amortization recorded in the books and records of the REIT in respect of its properties, calculated in accordance with IFRS
"IFRS" means International Financial Reporting as issued by the International Accounting Standards Board, as amended from time to time
"Independent Trustee" means a Trustee who, in relation to the REIT or any of its related parties is "independent" (within the meaning of National Instrument 52-110 Audit Committees) and is not "related" within the meaning of the Tax Act
"Initial Offering" means the initial public offering of 11,069,000 Units of the REIT
"Insider" means, every trustee or senior officer of the REIT, every director or senior officer of a company that is itself an insider or subsidiary of the REIT, and any person or company who beneficially owns, directly or indirectly, voting securities of the REIT or who exercises control or direction over voting securities of the REIT or a combination of both carrying more than 10% of the voting rights attached to all voting securities of the REIT for the time being outstanding other than voting securities held by the person or company as underwriter in the course of a distribution, and the REIT where it has purchased, redeemed or otherwise acquired any of its securities, for as long as it holds any of its securities
"Prospectus" means the prospectus dated March 9, 2004 filed in connection with the Initial Offering
"REIT" means real estate investment trust
"Retrocom LP" means Retrocom Limited Partnership
"Retrocom REIT" or the "Retrocom" means Retrocom Mid-Market Real Estate Investment Trust
"SC/MRR Group" means the vendor under the SmartCentres Transaction and companies controlled by Mitchell Goldhar or affiliates of such persons
"SmartCentres" means SmartCentres Inc.
"SmartCentres Management" means SmartCentres Management Inc.
"Special Unitholder" means a holder of Special Voting Units
"Special Voting Unit" means a non-participating special voting unit of the REIT, other than a Unit, issued pursuant to the Declaration of Trust and having the attributes described therein
"Tax Act" means the Income Tax Act (Canada) and the regulations thereunder, as amended
"Trustees" means the trustees from time to time of the REIT
"TSX" means the Toronto Stock Exchange
"Unitholder" means a holder of Units
"Unit" means a participating unit of interest in the REIT issued pursuant to the Declaration of Trust and having the attributes described therein
